1. Who you are contracting with

ROOMS® Inspections ("the Service") is provided by Rooms & Co Ltd, a company registered in England and Wales (company number 08590277), registered office The Shoe Quarter, St George's Works, 51 Colegate, Norwich, England, NR3 1DD ("we", "us", "our"). By creating an account or continuing to use the Service you agree to these terms. If you are using the Service on behalf of a letting agency or other organisation, you confirm you have authority to bind that organisation.

2. The Service

The Service lets letting agents and inspectors record periodic property inspections — including dictated notes, condition ratings and photographs — and produce a landlord-ready PDF report. Reports are unlocked using report credits purchased through the Service.

3. Your account

You must provide accurate registration details and keep them up to date. You are responsible for keeping your login credentials confidential and for all activity carried out under your account. Tell us promptly if you believe your account has been compromised.

4. Acceptable use

You must not:

• use the Service for any unlawful purpose, or to commit fraud or send spam;
• upload content that infringes anyone's intellectual property, privacy or other rights, including photographs of people taken without an appropriate lawful basis;
• interfere with the security or integrity of the Service — no malware, probing, penetration testing without consent, scraping or circumventing technical limits;
• reverse engineer, resell or redistribute the Service.

5. Your content

You retain ownership of the inspection data and photographs you upload. You grant us a limited licence to host and process that content solely so we can provide the Service to you. You are responsible for ensuring you have the right to collect and share the property and photographic data you record.

6. Intellectual property

We retain all rights in the Service, including its software, report templates, documentation and branding. You receive a limited, non-exclusive, non-transferable right to use the Service in line with these terms.

7. Service availability

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free performance. Maintenance, third-party outages and factors outside our reasonable control may affect availability.

8. Payment and billing

Report credits are sold by Rooms & Co Ltd individually or in volume packs, at the price shown at checkout, inclusive of any applicable taxes calculated at that point. Credits are consumed when a document is unlocked, are pooled across your branch, do not expire and are not transferable between organisations. Pack pricing and per-credit rates may change for future purchases; credits already bought are unaffected.

Payments are securely processed by Stripe, our payment provider, which handles card processing, tax calculation, receipts and refund processing on our behalf. Your bank or card statement may show Stripe (or its Link service) alongside our name. We do not store your card details.

9. Suspension and termination

We may suspend or terminate access where there is a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. On termination you may request an export of your inspection data within 30 days, after which it may be deleted.

10. Warranties and liability

To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Reports produced by the Service — including any AI-assisted summary text — are a record of the inspector's own findings and must be reviewed by you before being shared; they are not professional surveying, legal or safety advice.

We exclude liability for indirect, consequential or special losses, including loss of profits, data or goodwill. Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law.

11. Indemnity

You indemnify us against claims arising from content you upload, your unlawful use of the Service, or your breach of these terms.

12. General

We may update these terms; material changes will be notified in the app. You may not assign these terms without our consent; we may assign them as part of a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
